10. No adverse consequences:
(a) It is not necessary under the *** Laws:
(a) in order to enable the Lender to enforce its rights under the Agreement, including without limitation, in **** courts; or
(b) by reason of the entry into the Agreement or the performance by it of its obligations thereunder, that the Lender should be resident, licensed, qualified or otherwise entitled to carry on business in Kazakhstan; and
(b) the Lender is or will be deemed to be resident, or carrying on business in Kazakhstan by reason only of the entry into, performance and/or enforcement of the Agreement.
