The agreement gives XXX-company a one time right upon a 51% interest being earned in a project by YYY-company to participate at a 51% interest by deciding to become a contributing partner (YYY-company’s interest would flip to a 49% interest); to participate at a 65% interest by funding completion of a feasibility study; and to participate at a 49% interest and dilute through an industry standard dilution formula.

XXX и ZZZ образуют совместное предприятие YYY таким путем:
As part of the initial commitment, XXX has agreed to provide a minimum of eight exploration properties to the venture, and ZZZ will provide or arrange a minimum US$5 million in exploration funding.
Потом идет вот то длинное и совершенно запутанное (для меня) предложение (составитель утверждает, что никаких ошибок-опечаток-пропусков нет).
После этого длинного предложения продолжение - но с ним уже все понятно:
If XXX elects not to participate in a project, and YYY decides to joint venture the project, then ZZZ will have the first right to reach agreement on a joint venture.

Есть какие-либо идеи у кого-нибудь?
