To the extent that the Agency uses Agency Services of third parties to perform its Agency Services, with Bayer prior written consent, it shall ensure that all rights to use said Agency Services shall be exclusively assigned to the Agency in the scope stipulated in Section 5.1. If a comprehensive transfer of rights is not possible, the Agency must promptly inform Bayer and coordinate further action on a case-by-case basis. To the extent that obligations to third parties, including but not limited to photographers, illustrators, models, announcers, film directors, production companies or singers are involved, Bayer may limit the scope of the rights of use in advance with regard to the amount of the fee or legal restraints. The Agency is not obliged to assure the rights of use for Agency Services provided to it by Bayer.
