Subject: не будет осуществлять (и не будет давать согласия на) уступку, продажу... Залогодатель не будет осуществлять (и не будет давать согласия на) уступку, продажу, передачу, передачу во временное пользование или в аренду, или иное обременение или отчуждение Акций или любых относящихся к ним прав каким-либо лицам, за исключением Залогодержателя...В английском есть какой-то оборот, но не помню. А пока - The Pledgor shall not assign, sell, transfer, grant for temporary use (?) or lease or otherwise encumber or dispose (or give its consent to such assignment, sale, transfer, lease, encumbrance of dosposal) of the Shares or any rights pertaining thereto to any persons except/other than.. |

Оч. имхо: Pledgor shall refrain from (and shall not consent/agree to) give/grant temporary possession |

The Pledgor shall not, and shall not permit others to, assign, sell, transfer, loan, lease or otherwise encumber or dispose of the Shares or any rights attaching thereto to any person other than Pledgor... Еще тут получается encumber to и dispose of to, что не есть хорошо... |
