Subject: liabilities Co-Obligors hereby irrevocably and unconditionally agree to jointly and severally indemnify and hold harmless the Seller from time to time on demand from and against any and all reasonable, properly documented losses (excluding internal costs), damages, liabilities, costs and expenses suffered by the Seller as a result of the failure by the Purchaser to perform any of its obligations to be observed or performed by it under the Agreements
