Firm warrants and represents: a. that it is the owner of the rights, including without limitation, the copyrights and rights under copyright in all countries of the Territory, and materials that are the subject of this Agreement; b. that it has the right to enter into this Agreement and to fully perform its obligations under this Agreement; and c. that except as set forth in Schedule A attached to this Agreement, the rightsand materials covered by this Agreement are free from encumbrances and do not infringe upon the copyrights or any other rights of any third party; Harmony to attach as Schedule A a list of those Compositions which are or will be so encumbered or as to which Harmony does not own or control the copyrights, it being understood that Fischer shall not represent or exercise any rights in any Composition as to which Harmony does not own or control the copyright in the applicable country of the Territory.
