Subject: vote of shares что я понять никак не могу, что значит: vote of the shares?безо всяких предлогов и прочего? e.g. Neither the D nor the C shall, under any circumstances exercise any discretion as to voting, and neither the D nor the C shall vote, attempt to exercise the right to vote, or in any way make use of for purposes of establishing a quorum or otherwise, the Shares except pursuant to and in accordance with such written instructions from Holders. Shares for which no specific voting instructions are received by the D from the Holder shall not be voted. Notwithstanding the above, save for applicable provisions of U.law, if any, the D shall not be liable for any failure to carry out any instructions to vote any of the Shares. Shares which have been withdrawn from the d facility and transferred on the B’s register of members to a person other than the D or its nominee may be voted by the holders thereof. However, Holders may not receive sufficient advance notice of shareholder meetings to enable them to withdraw the Shares and vote at such meetings. | а что непонятного? Акция дает право голоса на собрании акционеров или при письменном опросе. Вот отсюда и исходите. |

Сочувствую... у самого подобная муть на столе. Это может быть связано с тем, что в акционерных компаниях голосуют не акционеры как таковые, а их акции (обычно 1 акция = 1 голос). Возможно, "voting shares" or "voting of shares" можно перевести как "участие акций в голосовании". М.б. "акции, допущенные к голосованию" или "участвующие в голосовании" |

This is standard legalese: To vote shares - по-научному у нас называется "осуществлять права голосования, вытекающие из владения акциями", а по-простому "голосовать акциями". И я предпочитаю простое, тем более что и практика уже пошла по этому пути, да и всем ясно, что именно имеется в виду. |
