Subject: attending shareholders are less than the ratio busin. Дорогие коллеги, помогите разобраться с параграфом из устава:Except otherwise provided under Company Act, resolution of Shareholders Meeting shall have attendance of shareholders representing more than half of total issued shares and shall have consent of more than half of voting rights of attending shareholders. In the event attending shareholders are less than the ratio as specified above but with attendance of shareholders representing one-third of issued share, the provisions under Clause 175 of Company Act shall be applied. Затрудняет фраза " attending shareholders are less than the ratio" - " Если количество голосов у присутствующих акционеров меньше указанной выше величины" или "если присутствующие акционеры владеют/представляют меньшим/меньшее количество(м) всех выпущенных акций, чем указанная выше величина?" Прошу строго не судить - запуталась. Спасибо. |
| Простите, не совсем понимаю, в чем разница между "количеством голосов" и "количеством всех выпущенных акций". Одна акция (обычная, не привилегированная) соответствует одному голосу, разве не так? |
| They mentioned the ration only cause it is a calculation of 1/2 of the amount of people attending the meetings. Переводите как "соотношение" - имеется ввиду если придет меньше половины, например, одна треть. |
