В общем, это пункт из Indemnities

Each of the Indemnified Parties shall be entitled to be indemnified out of the Company Assets against any and all liabilities, actions, proceedings, claims, costs, demands or expenses (including legal fees) which may be incurred by or threatened against it in connection with the Company, provided however that it shall not be so indemnified with respect to its own taxation or any matter resulting from its fraud, gross negligence, wilful misconduct, bad faith, reckless disregard for or material breach of its obligations and duties in relation to the Company or from any breach of any duties and liabilities which it may have under applicable law.

Стороны имеют право на возмещение убытков в связи с исками, судами и тд?

out of the Company Assets - за счет Активов Компании (обратите внимание - с большой буквы, т.к. это термин).

against - иногда помогает "в связи с", а иногда, но хуже, "в отношении"...

Плохо это обычно ложится на русский.

в связи с любыми обязательствами, исками, судебными разбирательствами и требованиями, а также в отношении любых затрат или расходов (including legal fees)

which may be incurred by or threatened against it - обычный казуистический оборот, смысл примерно такой: которые она может понести или которые могут возникнуть у нее
