5. Work Statements. Developer agrees to provide certain services (the “Services”) to Client for specific projects that are mutually agreed upon from time to time (the “Projects” or, individually, a “Project”) between Client and Developer. Each Project will be set forth on a separate “Work Statement” substantially in the form attached hereto as Exhibit 1. Each Work Statement shall, as applicable, contain: (i) a description of the Project and the Services to be performed by Developer; (ii) a description of the deliverables to be produced by Developer; (iii) the schedule for completion of each deliverable or stage of a Project

All amounts paid by Client to Developer prior to the execution of this Agreement which relate to any Project covered by this Agreement shall be credited and deducted from the amounts set forth on the related Work Statement.
