8.1 Subject to the Regulations, the Directors shall call any general meeting (whether annual or extraordinary) by giving written notice (the "Notice of Meeting") to all the Members and the Directors at least twenty-one (21) days before the meeting (inclusive of the day on which notice is given), provided that a meeting may be called on shorter notice if so agreed unanimously by Members having a right to attend and vote at the meeting.

8.2 The Notice of Meeting shall: (a) state that it is in respect of an general meeting of Members of the Company; (b) specify whether it is in respect of an annual general meeting or an extraordinary general meeting; (c) specify the time and place of the meeting; (d) mention the general nature of the matters lo be considered; and (e) include a copy of any accounts or auditors' reports to be laid before the meeting.

8.3 The proceedings of a meeting shall not be invalid solely because of, and shall remain valid despite, the inadvertent failure to give valid notice or any notice of the meeting to, or the failure to receive valid notice or any notice or a meeting by, any person entitled to receive such notice.

valid - надлежащее?

Если бы кроме настоящего Articles of Association не было еще и Regulations, можно было бы написать "предусмотренное настоящим Уставом"...

Судя по контексту, valid - это направленное как минимум за 21 день, а все остальные - это "any notice" (отправленные за более короткий срок)...

valid notice - здесь "надлежаще оформленный".

С другой стороны - если "or any notice" прописано в уставе, то оно тоже направлено "в соответствии с уставом"...
