Assurance of Valuation Inputs.

The Company warrants to the Investor that the aggregate of:

(a) Net Debt at the end of the Reporting Period in which Closing occurs less
US$3,000,000,000 (three billion U.S. Dollars); plus

(b) Debt-Like Items at the end of the Reporting Period in which Closing
occurs less US$ 281,922,599 (two hundred and eighty one million, nine hundred and twenty
two thousand, five hundred and ninety nine U.S. Dollars) (being the Debt-Like Items as of 31 March 2014 based on the 31 March 2014 Quarterly Financial Statements); plus

(c) Non-Controlling Interests at the end of the Reporting Period in which
Closing occurs less US$23,509,896 (twenty three million, five hundred and nine thousand, eight hundred and ninety six U.S. Dollars) (being the Non-Controlling Interests as of 31 March 2014 based on the 31 March 2014 Quarterly Financial Statements); less

(d) the Working Capital Adjustment,

is not more than US$0 (zero U.S. Dollars), such amounts determined consistent
with the illustrations in Schedule 3...
