The Seller shall procure that, save in the course of the Reorganisation, from the date of
this Agreement until Completion: (a) each Group Company will conduct its business
in the ordinary course; (b) in the absence of the prior written consent of the Purchaser
(not to be unreasonably withheld nor delayed), no Group Company will undertake any
action which would have required approval as a Reserved Matter *had the Shareholders
Agreement been in force from the date of this Agreement until Completion*; and (c)
(other than as provided for in Schedule 7 (Corporate Reorganisation)) no dividend or
other distribution shall be paid by any Group Company to any person which is not a
Group Company at the time of payment of such dividend and at Completion
