До: If the Seller, through no fault of the Buyer, fails to complete construction of the Apartment Unit, the Building and/or the Common Property and/or fails to convey ownership to the Buyer within the Transfer Date, or within any extension thereof under other provisions in this Contract, the Seller agrees to pay a late penalty charges of two percent (2%) per annum calculated from the Transfer Date until the date the Seller conveys ownership of the Apartment Unit to the Buyer according to Clause 7 herein whereupon the Buyer shall be entitled to deduct the full amount of penalty from the last installment to be paid against the Purchase Price according to the Payment Schedule.
