back-end liability / front-end liability

"When starting a business, you need to assess the potential for liability from both the business side (the entity) and the ownership side. Most business owners are familiar with instances of front end liability for a business: breach of contract, injuries on their property, product liability, etc. They will form a business entity to protect their personal assets from being subject to the debts and obligations of the business. And while almost any choice, other than sole proprietorship, gives you that protection, there can be some differences in how that protection is afforded. The issue that most business owners don’t think about is what I call “back end liability”, or what happens when an owner of the business puts that ownership at risk? For example, if doctor owns a portion of a car wash, and that doctor is liable for damages in a medical malpractice lawsuit, it is possible that the judgment creditor may take the doctor’s ownership interest in the car wash? If so, the doctor’s fellow business owners are in business with the judgment creditor and not the doctor. There are certain entities in certain jurisdictions that can limit the effect of having a judgment creditor become an owner of your business, so that the judgment creditor has limited rights and is not allowed to run the business."

FRONT END LIABILITY: Suits against the entity for the acts of the entity. The entity protects the ownership from being liable for the acts of the entity.
BACK END LIABILITY: Suits against the individual owners in their individual capacity. If found liable, the owner's ownership interest could be awarded to a claimant as part of a judgment, and then the claimant would be an owner.
