Subject: step-up fee fin. In the event of replacement of the Lenders in accordance with Clause 31.2 (Assignments and transfers by Lenders) and/or Clause 31.12 (Replacement of Lenders) of the Facility Agreement as contemplated by this letter, the Company shall pay a step-up fee (the Fee) to each New Lender and Replacement Lender which has assumed the respective rights and obligations of the Existing Lender(s) and Non-Consenting Lender(s) (each an Incoming Lender).
