Once the Parties exchange the offer and acceptance for the exercise of call option an irrevocable and binding contractual relation between them shall be deemed to be constructed on the date of acceptance of the call option.

Call-options at Fair Market Value to be granted for customary events (particularly, but not limited to death, permanent incapacity or insolvency of a Party/breach of non-solicitation obligation by a Party). If and when the Shareholder exercises the Call Option then the Other Shareholder(s) and/or his/her (their) heirs or representatives are obliged to transfer and assign whole or part of their Shares those are subjected to the call option and the Shareholder is obliged to transfer the purchase price calculated in accordance with the market price.
