Помогите перевести соглашение акционеров.

Party 1 on the one hand and Party 2, on the other hand, shall be jointly and severally held for any rights and obligations deriving from this Shareholders Agreement where this provides to rights and obligations for Party 1 and Party 2.

На ум приходит только такой перевод
Сторона 1 и Сторона 2, совместно и каждая в отдельности несут ответственность за выполнение всех прав и обязанностей, вытекающих из настоящего Соглашения Акционеров, в случае, когда оно прописывает права и обязательства для обеих Сторон.

И далее следуют 2 пункта, каждый из которых начинается словом whereas, но не имеет логического завершения, т.е. не могу перевести -поскольку, то, т.е. нет противопоставления. Контекст:

A. Whereas (1) and (2) wish to form a joint venture company in the Netherlands with the name X (hereinafter referred to as the “Company”) having as business objective the sales and service of products of (names of producers) for Russia;

B. Whereas (1) and (2) have the intention that the joint venture company will start a Russia-based company that will be conducting the actual business according to the articles of this agreement.

Как в этом случае правильно перевести whereas?
