If, on the Closing Date:

(a) the Seller or the Buyer has not obtained any required Governmental Approval required to transfer any of the Acquired Assets to the Buyer or (b) Sellers have not taken all necessary actions and steps required to complete the Business Restructuring prior to the Closing Date, and as a result thereof the Parties are prevented from transferring any of the Acquired Assets and the Shares referred to in clauses (x) and (y), each a “Deferred Local Business”,

Then such Deferred Local Business will be withheld from transfer on the Closing Date and the portion of the Initial Purchase Price allocated to such Deferred Local Business will be withheld by Buyer Parent.
