The term "Termination Date" means the first date following which all of the Senior Obligations (other than inchoate claims in respect of an indemnity and all other contingent obligations that have not yet been asserted) shall have been paid, in full, in cash and the Revolving Credit Commitments (as defined in the Senior Credit Agreement) shall have been terminated; provided, that if any such inchoate claim in respect of an indemnity, or any other claim with respect to a contingent obligation, arises after the Termination Date, then, notwithstanding anything contained in this instrument to the contrary, all such claims shall be paid to the Senior Parties in full prior to any payment on the Subordinated Debt.
