Article No.2
The Agent authorized, empowered and directed to act as and exclusive agent for the Company in the conduct and management of the business in relation to all the vessels (hereinafter referred to as "The Vessel") which are owned, operated and chartered by the Company, whilst the Vessel in Korean Ports (hereinafter referred to as "The Port"), in accordance with the prescribed directions, instructions and orders of the Company on the terms and conditions hereinafter provided.

Article No.3
In acting hereunder and performing the service herein specified, the Agent shall at all times use their best efforts in economical and efficient manner of every nature to the Company.

Article No.4
The Agent shall use their best endeavours to employ competent
supervisiory shore side personnel having wide maritime experience to assist the master, officers and crews of the Vessel in husbanding, berthing and unberthing of the Vessel at the Port.
The Agent shall further attends, in such husbanding, to secure and employ the best efficient stevedores and other relating service contractors obtainable at the Port.
The Agent shall further arrange and secure, with all possible efforts, quicker despatch of the Vessel in each Port of call of the Vessel.

Article No.5
The Agent shall, at the request of the Company or the Company's
attorneys, investigate all damages and claims to the Vessel, cargo and boarding personnel of the Vessel as may be required by the Company, and report in writing to the Company, and shall, make adjust, apportion, settle and deal with any claims on behalf of or against the Company or its attorneys.
If in case of general average, fee for the Agent is to be as mutually agreed upon subject to consulations with the Company and their approval.
