Subject: ООО Всем привет! Не подскажите ли, где найти материалы по функциям, обязанностям и т.д. ООО (Общ. с огр. отв.) на английском. Текст что-то вроде этого:В случае несостоятельности (банкротства) Общества по вине его участников или по вине других лиц, которые имеют право давать обязательные для Общества указания либо иным образом имеют возможность определять его действия, на указанных участников или... Хе-хе, вот, например.... 2.1. The Company is a legal entity under Russian Federation law. The Company’s legal status is determined by Russian laws, the Memorandum of Association and these Articles. 2.2. The Company has civil rights consistent with the Company’s objects and goals provided for herein. 2.3. The Company has its separate balance sheet, settlement, currency and other bank accounts. The Company is responsible for its obligations with all its property, upon which execution may be levied under the law. 2.4. The Company shall not be responsible for the Founders’ obligations. The Founders shall not be responsible for the Company’s obligations and shall bear the risk of losses in connection with the Company’s activity, within the scope of their respective contributions. The Company’s members, that have not made their contributions in full, shall be jointly responsible for the Company’s obligations within the scope of the unpaid portion of each member’s contribution. Whenever the Company’s insolvency (bankruptcy) is caused by the Members or any other persons entitled to issue binding directions or otherwise determine the Company’s actions, such persons, in the case of insufficiency of the Company’s property, may bear subsidiary responsibility for the Company’s obligations. 2.5. The Company shall have the right to open its branches and representative offices in the Russian Federation and in other countries. Such branches and representative offices shall be provided with fixed and working assets and shall act pursuant to the relevant Provisions to be approved by the Company. The activity of such branches and representative offices shall be managed by persons designated by the Company. The manager of any branch or representative office shall act pursuant to a power of attorney issued by the Company. |
