Charge: A method of taking Security over an asset which gives a right to appropriate the asset to discharge of a debt, but which does not constitute a transfer or agreement to transfer in interest in the asset (as a Mortgage does). All charges (save a charge by way of legal mortgage over land) are equitable in nature. A charge may be a Fixed' charge or a Floating charge. Often used to take security over goodwill, land or intellectual property, or as an alternative to a mortgage. Fixed charge: A Charge which attaches to the charged assets immediately on creation, preventing disposal of the assets without the consent of the chargee and appropriating the assets to the satisfaction of the debt secured by the fixed charge. Floating charge: A Charge over a class of assets which allows the Chargor a licence to deal with the assets in the ordinary course of business until Crystallisation of the charge, at which point the licence is revoked and the charge is attached to the assets.
