В соответствии со ст. 170 ГК РФ мнимая сделка, то есть сделка, совершенная лишь для вида, без намерения создать ей соответствующие правовые последствия, ничтожна. В силу положений названной статьи ничтожной является и притворная сделка, которая совершена с целью прикрыть другую сделку.

Article 170. Invalidity of Fictitious and Sham Transactions

1. A fictitious transaction, i.e. a transaction executed only for form's sake and without the intention to create the legal consequences associated therewith, shall be void.
2. A sham transaction, i.e. a transaction executed for the purpose of harboring another transaction, shall be void. The transaction which the parties actually had in mind shall be subject to the rules applicable thereto, with due regard for its substance.
