The Seller is obliged to pay shares at the rate of Transaction amount within 10 work days from the acquisition date of shares to the Buyer’s account .

Как вариант:
It shall be responsibility of the Buyer to effect payment for Shares in the sum equalling to the Transaction Amount within 10 business days from the day of their transfer to the Buyer's account.

Аскер, немного ликбеза:
to pay shares - не бывает. to pay FOR shares.

at the rate of Transaction amount - тоже неправильно. См. ответ Langkawi.
То же самое относится к 'within 10 work days'.
