Subject: Closing date, Organization and Standing Representations and Warranties of the Party. Effective as of the Closing Date, XXX hereby represents and warrants to another Party as follows:(a) Organization and Standing. Party ^ duly organized and validly existing under the laws of XXX Party have full power and authority (corporate or otherwise) and all material governmental licenses, consents and approvals necessary to own its assets and properties and to carry on its businesses as now conducted and in the manner to be conducted following the Closing; and XXX is qualified to do business in all jurisdictions in which failure to so qualify would have a material adverse effect on the business or financial condition of XXX.
