At the Closing, each Shareholder shall deliver, or procure the delivery, to Purchaser of:

- (g) certified copies of duly executed letters of release in the Agreed Form in respect of each person resigning or being removed from the board of directors of each of JVCo, RusCo and each Direct Company Subsidiary with effect from the Closing;
