"If any asset of the LLP is held by or in the name of one or more Members, the LLP will indemnify the Member(s) concerned against any liability which they suffer as a result unless the asset is held by or in the name of the Member(s) concerned without the LLP’s consent, in which case any such liability will be for the account of the Member(s) concerned and there will be no such indemnity"
