If XXX receives an offer from a Third Party Purchaser to purchase Offer Shares held by XXX comprising over 50% of all Shares (a “Third Party Offer”), which offer must be in cash (and otherwise cannot be accepted by XXX), XXX shall have the right (the “Drag Along Right”) to require all the other Shareholders to sell all (and not less than all) of the Shares held by them (the “Drag Shares”) to the Third Party Purchaser at the same cash price (and otherwise in accordance with Clause 23) as stated in the Third Party Offer ...

Смысл, видимо, такой - и в принципе в соответствии с пунктом (никакой не "иначе" или "иным образом"...)

Т.е., в данном пункте указаны конкретные условия предложения, но кроме того, надо еще [в любом случае] выполнить условия пункта 23...
