Вот мой вариант перевода: Предложению присвоен рейтинг, и с даты, присвоения рейтинга предложению и до даты валютирования суммы, поступившей в оплату ценных бумаг, рейтинг, присвоенный Предложению и рейтинг страны являются удовлетворительными для Компании Я сегодня как собака: все понимаю, а сказать не могу |

The obligations of ХХХХХХХХХХХХ to provide the Services are subject to the following conditions precedent: a) receipt of information and due diligence satisfactory to ХХХХХХХХХХХХ; b) receipt of all consents and authorizations (both internal and external, as the case may be) which may be necessary for the issue and placement of the Securities; c) documentation in form and substance satisfactory to ХХХХХХХХХХХХ and appropriate legal opinions and auditor’s comfort letter having been obtained; d) no event of default or potential event of default having occurred under any existing obligation of the Client; e) satisfactory completion of the book-building process; f) no announcement being made by the Client, which in the view of ХХХХХХХ might have an adverse effect on the marketing of the Securities, g) the absence of any circumstances which in the opinion of ХХХХХХХХХ or its Advisors may have an adverse effect on the success of the issue or the placement of the Securities; h) Unconditional and irrevocable government guarantee of Russia for the Offering, satisfactory to XXXXXXX; i) a rating being assigned to the Offering and from the date a rating is assigned to the Offering to the value date of the payment of the Securities the rating assigned to the Offering and the country rating being satisfactory to XXXXXXXXXX; j) in XXXXXXXXX determination, the absence of any adverse change as described in standard market language (clause 2) by the International Capital Markets Association in national or international financial, political or economic conditions or currency exchange rates or exchange controls. |
