стороны освобождаются от ответственности за невыполнение или ненадлежащее выполнение своих обязанностей по договору, если таковые нарушения обязательств происходят в результате обстятельств непреодолимой силы... ...the parties shall not be liable for failure to perform or incomplete performance in accordance with this contract, if such failure was caused by acts of God. * "acts of God" is a good legal term, which includes any natural disasters, unforseen circumstances outside of the parties' control, etc. |

2ms801: 1) could it be "improper" instead of "incomplete"? 2) would "acts of God" include say strikes or hostilities customarily defined as force-majeure circumstances? |

2 Redut: I hear what you say; my bad. How about simply leaving "failure to perform in accordance wih the terms of this contract?" 2 Tolmuch: No, Acts of God, would not include a strike. So, you may want to add something like "or caused by other forces outside of the control of the breaching party." (kinda wordy, tho). Or, you could use your expression "force-majeure." In US contracts, I often saw "strikes, riots, etc." actually spelled out in addition to "Acts of God." YOu may want to do the same. |

2 ms801 With all due respect, не думаю, что две разные правовые концепции - а) НЕисполнения и б) НЕНАДЛЕЖАЩЕГО исполнения удастся с такой легкостью объединить, fold into one, в ОДНОМ английском термине failure to perform. Также, incomplete performance - это не НЕНАДЛЕЖАЩЕЕ. Это - "неполное". А это - разные вещи. Так что я все же рекомендовал бы failure to perform or improper performance. |
