Пиревидитя это вместа миня плиз. И БЫСТРО!As we understand from our recent discussions, the Company contemplates to acquire one of the mid –size independent Dutch tyre manufacturers, ABC B.V. We understand that the acquisition parameters have been agreed with the sellers and the Company intends to consummate the acquisition in March 2005. The acquisition shall be financed by debt in the amount of approximately €200 million to be provided by commercial banks in the Netherlands. Concomitantly, the Company intends to start preparation for the initial public offering of its shares with listing at the LSE with view to complete the process by the end of 2005. We would recommend a global offering of GDRs under Reg S to Institutional investors outside the US and under Rule 144A to QIBS in the US. We also recommend to set the minimum IPO size at $200 million with primary shares representing not less than 50% of total shares offered. Customarily, the primary versus secondary split stands at 80% primary and 20% secondary shares. The Company can decide on this on later stages during the preparation of the Offering. We also understand that the proceeds from the sale of primary shares will be used to pay back the acquisition financing to the banks.
