This transfer did not occur and, therefore, if an extraction is to occur with respect to [the company], the shares in [the company] will need to be transferred to a newly formed [another company] holding company prior to any extraction.

• The next step would then have been to extract [the company] to the Netherlands.

• An extraction of [the company] to the Netherlands would involve:
• the setting up of a new Netherlands holding company;
• the transfer of shares in [the company] to that Netherlands holding company, so that the Netherlands holding company becomes the parent company of [the company];
• the liquidation of [the company] into that new holding company; and
• the distribution of all of [the company's] assets and liabilities to that holding company.
