Without prejudice to the foregoing, XX shall be entitled to vote the Securities or appoint its custodian or nominee to vote the Securities at its sole discretion at any general meeting of shareholders of the issuer of any Securities held hereunder or on any proxy vote and to exercise other ownership rights with respect to the Securities.
