The General Director acts (without warranty of authority) on behalf of the Enterprise, represents its interests in all domestic and foreign companies, public authorities of the Russian Federation, administers the estate within the ambit of his rights, signs contracts, including civil law contracts, gives warranties of authority, opens accounts with a bank, is in command of financial assets, approves programmes, structure and establishment plan, hires and dismisses personnel, including his deputies and accountant-general, rewards and imposes disciplinary sanctions, issues orders and provides with guidelines obligatory for the personnel of the Enterprise.
The general Director acts according to the principle of one-man management and is personally liable for the fulfillment of the Company rules by the Enterprise with accordance of legislation of the Russian Federation, the present Company rules and the employment agreement.

Предприятие возглавляет Генеральный Директор, назначаемый (освобождаемый) на эту должность Президиум РАН.
Права и обязанности ГД, а также основания для расторжения трудовых отношений сним регламентируются трудовым договором (контрактом), заключаемым с РАН.
ГД (без доверенности) действует от имени предприятия, представляет его интересы во всех отечественных и иностранных компаниях, органах государственной власти РФ, распоряжается в пределах предоставленных ему прав имуществом Предприятия, заключает договоры (контракты), в том числе гражданско-правового характера, выдает доверенности, открывает счета в учреждениях банка, пользуется правом распоряжения финансовыми средствами, утверждает планы, структуру и штатное расписание, принимает на работу и увольняет сотрудников, включая его заместителей и главного бухгалтера, применяет меры поощрения и налагает взыскания на работников, издает приказы и дает указания обязательные для всех работников Предприятия.
ГД действует на принципе единоначалия и несет персональную ответственность за осуществления уставной деятельности Предприятия в соответствии с законодательством РФ, настоящим уставом и заключенным с ним трудовым договором (контрактом).

The CEO shall have sole authority and shall be personally liable for carrying out business as contemplated by the Articles of Association in line with laws and regulations of the Russian Federation, this Articles of Association, and his employment contract.

The Company is headed by the General Director appointed (dismissed) by the Presidium of the Russian Academy of Science.
Rights and obligations (duties) of the General Director, as well as grounds for termination of his employment, are regulated by his employment agreement (contract) with RAS [наверно, было ее определение в сокращенном виде?).

Замечания очень ценные. Про company учту на будущее, и с General Director согласна - у нас так уже давно называют.

RAS - это я сама сократила, поскольку набирала исходник.

И по ходу вопрос возник:the Russian Academy of Science? Без -s на конце? На их сайте с -s http://www.ras.ru/index.aspx?_Language=en
