Each party hereby submits to the non-exclusive jurisdiction of the courts of England with respect to any legal action, suit, or proceeding against it arising out of or in connection with this Mandate Letter and waives to the fullest extent permitted by applicable law, the defence of an inconvenient forum in any action or proceeding brought in any such court, and further waives all immunity (whether on the basis of sovereignty or otherwise) from jurisdictions or attachment both before and after judgement and execution to which it might otherwise be entitled in any action or proceeding in the courts of any country or jurisdiction relating in any way to this Mandate Letter or the Transaction and agrees that it will not raise a claim of, or cause to be pleaded on its behalf or its assets, any such defence of immunity in any such action or proceeding.
