"Capital Stock" means, with respect to any person, any and all shares, interests, participations, rights to purchase, warrants, options, or other equivalents (however designated) of capital stock of corporation and any and all equivalent ownership interests in a person other than a corporation; in each case whether now outstanding or hereafter used.
