The payment conditions of the purchase price, i.e.:
i) the final purchase price, i.e. an amount of USD ____________ (adjusted for net debt, provisions, excess capital and normalized working capital as described above and calculated in accordance with the chart enclosed in Annex ___ hereto) existing at Closing, that will be paid in cash to Vendors at the Closing
