6.1 For deals originated and structured by the Associate, the Firm will pay an origination fee of the retainer’s fee actually collected by the Firm will share pro-quota with the Associate and any other associate or third party that has participated in the execution, if the Associate indeed participates in the execution, any success fees actually collected by the Firm. On a per case basis, should the Firm decide to require the Associate’s expertise on aspects other than the deal origination, then the Firm will co-opt the Associate to participate as co-adviser in such aspects, relating to the transactions as the Firm sees fit. For deals originated by the Firm on which the Firm desires to retain the services of the Associate, the Firm will propose its economic terms of business to the Associate that will decide whether to engage In the specific assignment(s).
