1.1 All sums payable by the Seller under this Agreement or for breach of any of the Warranties shall be paid free and clear of all deductions or withholdings whatsoever, save only as provided in this Agreement or as required by law.

1.2 If any deduction or withholding is required by law from any payment by the Seller under this Agreement, the Seller shall pay such additional amount as will, after such deduction or withholding has been made, leave the payee with the full amount which would have been received by it had no such deduction or withholding been required to be made.

имхо не " валового показателя ", а общей суммы платежа

как вариант

Увеличение общей суммы платежа (выплат) на сумму/величину налога и прочих удержаний /вычетов

"какой-либо вычет или удержание", как многие бы написали, писать не хочется.

как вариант -

Если по закон-ву Продавец должен проивести какие-либо вычеты или удержания из суммы платежа в соотв. с настоящим С., Продавец выплачивает такую доп. сумму, которая (после таких вычетов или удержаний) обеспечит получение " payee"-ом полной суммы которую бы .....
