Seller shall cause the Company and each of its Subsidiaries not to do any of the following:

выдача разрешения на выпуск, продажу или залог каких-либо долей участия или каких-либо ценных бумаг, конвертируемых в доли участия или обмениваемых на доли участия

приходит на ум "exercise an option"... Если так, "или являющихся предметом опциона на доли участия"?
