Не переживайте, англоязычным точно так же хочется застрелиться ) Воспринимайте как будто после "... as the Board may determine" стоит точка, а "no Director or intending Director shall be disqualified by his office ..." - это начало новой фразы. Означает она как раз обратное: то, что совет директоров не имеет права вмешиваться в подобные контракты. Индивидуальные директоры могут их заключать по своему усмотрению и то, что они - члены совета, этому не препятствует. Я бы чуть поправил перевод "...nor shall any such contract ... liable to be avoided": это скорей "...(подобные) договоры ... не подлежат ограничениям". |
