VP8 and VP9 LICENSE AGREEMENT

This License Agreement (“Agreement”) is entered into between Google Ireland Limited, located at Gordon House, Barrow Street, Dublin 4, Ireland (for itself and for the benefit of its Affiliates) (“Google”) and the entity agreeing to the terms below (“Licensee”). This Agreement will be effective as of the date Licensee clicks the "Accepted and Agreed" button below (the "Effective Date").

1. Definitions

1.1 “Accelerated IC” means a semiconductor product that Licensee develops or manufactures that implements the Google Products’ functionality accelerated at RTL and Gate Level, and controlled by Licensee software.
1.2 “Affiliate” means an entity that directly of indirectly controls, is controlled by, or is under common control with a party.
