“Subject Shares” - shares, representing the entire issued shares of the Company as the date of this Agreement and at Completion.

"Completion” means the completion of the issue and allotment of the Consideration Shares by the Purchaser in accordance with clause 4.1.

Consideration Shares, ИМХО, можно дать только длинно и описательно... У кого есть другие мнения, прошу поделиться.

А что говорится в clause 4.1?

И что происходит с Subject Shares? Их покупают или как?
От этого зависит термин.

Clause 4.1 In consideration of the sale of the Subject Shares and the assets of the Company pursuant to Clause 3, the Purchaser has agreed to issue and allot the Consideration Shares to the Seller, credited as fully paid. The Consideration Shares shall rank pari passu with the existing shares of the Purchaser at Completion in all respects.

Consideration Shares предоставляются в оплату Subject Shares. Так я понял? Остается перевести термин.

Вызывает сомнения вариант МТ "Компенсационные акции" (хоть и коротко, но не совсем ясно).

Ждем других мнений.

Продавец соглашается продать Покупателю "Приобретаемые акции" и активы Компании, а Покупатель соглашается купить "Приобретаемые акции" и активы Компании на условиях, изложенных в настоящем Договоре
