All payments due and payable by Buyer to X under this Agreement shall be free and clear of any deductions of local taxes in the Territory or by any authority with jurisdiction over the Territory.
However, should Buyer be required by the applicable authorities to withhold income tax which may be levied against X, then Buyer shall be entitled to deduct such tax on X's behalf, provided that Buyer shall furnish to X a tax certificate within reasonable period of time so that X may obtain a tax credit in the Republic of Korea.

Сомневаюсь в выборе варианта для "tax certificate " - я так понимаю, что X - компания из Республика Корея, а другая сторона - резидент России ..

и еще: tax credit - как лучше взять: налоговая льгота или налоговый вычет в данном случае?
