In terms of money damages, XXX could have substantial liability to YYY, consisting of (1) either (a) reliance loss damages (i.e. recovery of the costs and expenses incurred by YYY in negotiating the PSA and preparing for the Completion of the Swap Transactions) or (b) damages based on expectation loss or lost profits (i.e., the net difference in value, if any, between what YYY would have received under the Swap Transactions and what it would have given), plus (2) possible additional damages caused directly by the breach , plus (3) possible consequential or more remote damages caused by the breach that were within the reasonable contemplation of the Parties when they signed the PSA (e.g., damages resulting from the adverse impact on YYY's market image as a result of not acquiring the upstream Swap Transaction reserves, such as greater overall funding costs or loss of business opportunities, or losses by YYY related to concessions in other ventures with XXX made in reliance on the Swap Transactions). Consideration of possible consequential damages will require further factual inquiry into the discussions and understandings of the Parties relating to such matters in the course of the PSA negotiations. We do not believe that possible claims under the indemnity provided in Clause 23.2.1 of the PSA would add to the above potential damages in any material way.

имхо - ....потребует дополнить discussions and understandings (их результаты) in the course of the PSA negotiations проведением фактологического анализа relating to such matters
