Subject: 2 вопроса по юридическому переводу gen.
Хотела уточнить кое-что в переводе этого отрывка из договора.

This indemnity shall apply in favour and for the benefit of the Agent notwithstanding that there may be some defect in the appointment, qualifications or authority in its capacity with respect to the Company, as a stipulation in its favour and as such be enforceable by it against the Company. This indemnity shall cover without limitation all acts undertaken or purported to be undertaken by the Agent for or on behalf of the Company.

1. stipulation in its favour - имеется в виду "оговорка в пользу Компании"?
2. acts undertaken or purported to be undertaken - это "действия, совершенные или предположительно совершенные"?

2. по смыслу-то так. а вот как пишут юристы.. может, лучше якобы предпринятые? или "якобы" здесь несет в себе ненужные коннотации?

1. От юриспруденции страшно далека, но с т.з. грамматики я бы подумала, что здесь it=the Agent, i.e. stipulation in its favour=the Agent's:

This indemnity shall apply in favour and for the benefit of the Agent notwithstanding that there may be some defect in the appointment, qualifications or authority in its [the Agent's] capacity with respect to the Company, as a stipulation in its [the Agent's] favour and as such be enforceable by it [the Agent] against the Company.
