1.1 In consideration of XXX (or its affiliates or subsidiaries) agreeing further to progress negotiations with a view to agreeing the structure and terms of the purchase of, and then entering into formal and binding documentation in relation to the direct or indirect acquisition from the Seller Group (the “Transaction”) of, the real estate (being the land plots and all structures on such plots) and equipment at the following locations:
