2.1 License and Sub-licensing.

2.1.1 “Rights” shall mean the following rights as expressly stated in this clause 2.1.1:

Licensee shall have the right to sub-license:
(a) the right to TV Broadcasting Company for exhibition Programs on the Free Broadcast Television service currently known as_________ in the Territory in the Licensed Languages (dubbed and/or subtitled and/or voiced over).

The list of Programs for which Licensor makes available for licensing, including number of runs, is contained in the SUPPLEMENT # 1 to this Agreement.

2.1.2 The Licensee and the Broadcaster, respectively, may each exercise only those Rights granted to each of them in accordance with clause 2.1.1 strictly in accordance with the terms and conditions of this Agreement

Special conditions / ХХХ Channels. Licensee acknowledges that the rights to exhibit or to license the Programs listed in EXHIBIT A for exhibition in the Russian language in the Territory by means of Free Broadcast Television have already been granted by _________ to a third party prior to the execution of this Agreement. Notwithstanding the foregoing, in the event that _________ or any affiliated company within the ХХХ group operates a television service or services in the Territory during the Term, _________
shall be exclusively entitled to exhibit or license for exhibition any Program licensed hereunder on such service or services for up to 12 months during the License Periods of any such Program, provided that the License Period of such Program shall be extended by the length of time that Licensee is unable to exhibit such Program because of its exhibition or license for use on such service or services and that _________
shall give Licensee not less than 3 months notice of such exhibition or license for exhibition.

2.3 Survival. Unless otherwise set forth herein, the terms and conditions of this Agreement shall remain in effect with respect to each Program licensed hereunder during its License Period and thereafter, it being acknowledged that the License Period for a Program licensed hereunder may expire after the Term. The termination or expiration of the Term or any License Period, howsoever occasioned, shall not affect any of the provisions of this Agreement which are expressly or by implication to come into or to continue in force after such termination or expiration.
