"XXX's Termination Costs" means the aggregate of:
(a) the difference between:
(i) all XXX Payments provided to date; less
(ii) any XXX Payments that have been previously reimbursed to XXX; plus
(b) interest at the Rate of Return for the period from (and including) the date(s) on which XXX provided the XXX Payments in accordance with the Payment Plan to (and including) the date the payment is made on the amount calculated pursuant to (a) above; plus
(c) all Transaction Costs incurred by XXX that have not already been reimbursed; and
(d) the amount of such reasonable costs and expenses that XXX incurs in respect of:
(i) the determination of the amounts in paragraphs (a), (b) and (c) above; and
(ii) terminating this Agreement,
in each case including without limitation verifiable broker fees, recovery costs, commissions, legal fees and other third-party costs and expenses.
